Introduction

Park Capital Management, LLC (“Park Capital”) is an investment adviser registered with the U.S. Securities and Exchange Commission. Investment advisory and brokerage services differ, and it is important for you to understand those differences.

Relationships & Services

We provide customized investment management and financial planning services to retail investors.
Our advisory services include advice on a range of securities described in Item 8 of our Form ADV Part 2A (“Disclosure Brochure”), such as equities, fixed income, mutual funds, ETFs, options, and similar investments.
Services are generally provided on a discretionary basis, meaning we can buy or sell securities in your account without obtaining prior approval for each transaction. This authority remains in effect unless you revoke it. In some cases, we may provide non-discretionary advice, where you make the final investment decisions.
We typically review portfolios at least annually and monitor accounts on an ongoing basis. Additional reviews may occur if your goals, risk tolerance, or circumstances change, or if market conditions warrant.
We do not require a minimum account size.
Advisory services are generally appropriate if you want ongoing advice and monitoring of your investments. Investors with few holdings who do not expect to make changes may find a traditional brokerage account more suitable.
We base recommendations on your financial situation, goals, time horizon, cash flow needs, and risk tolerance. Our objective is to pursue an appropriate balance of risk and return based on your individual circumstances.
Our advisors have several years of experience in the financial services industry and maintain required regulatory qualifications, such as the Series 65 exam or approved professional designations.

Fees, Costs, Conflicts & Standard of Conduct

Investment management fees are generally charged quarterly as a percentage of assets under management. As account values rise or fall, fees will adjust accordingly.
You may also incur fees charged by your custodian, including transaction-based or asset-based fees, as well as other costs such as transfer taxes or regulatory fees. Financial planning services may be billed at an hourly or fixed rate, as agreed upon in advance.

Fees and costs reduce the value of your investment over time and apply regardless of investment performance. For example, a 1% annual fee on a $10,000 account would equal $100 per year.
You should understand all fees and costs before investing.
When acting as your investment adviser, we are required to act in your best interest. However, certain conflicts exist because of how we are compensated or affiliated.
Park Capital is affiliated with The Park Bank, Inc., and Hausmann Group. Some professionals are licensed to sell insurance or registered with Purshe Kaplan & Sterling, a broker-dealer. These relationships create conflicts that are managed through disclosure and supervision.

Advisors may receive a salary, bonus, and/or commissions from insurance products. These compensation structures may create incentives to recommend additional services or products.
